Terms of Service
Website terms governing access to https://vmotion.ltd operated by VMOTION LTD.
1. Agreement to These Terms
These Terms of Service govern your access to and use of the website https://vmotion.ltd operated by VMOTION LTD. By accessing or using the website, you agree to be bound by these Terms. If you do not agree, you must not use the website. Separate Terms and Conditions apply to commissioned video production and related commercial services; those commercial terms prevail for paid engagements once a written agreement or accepted quotation incorporating them is in place.
You must be at least eighteen years of age, or acting with authority on behalf of a business, to submit commercial enquiries through the site. You confirm that information you provide is accurate and that you have authority to act for any organisation you represent.
These Terms form a legally binding agreement between you and VMOTION LTD in respect of website use only. They do not themselves create an obligation on either party to enter into a production contract, purchase media, hire talent, or commence creative work.
2. About VMOTION LTD
VMOTION LTD provides video production, creative agency, and multimedia entertainment services from 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. Contact: about@vmotion.ltd and telephone +44 7911 543210. Domain: vmotion.ltd. These Terms apply to website use only and do not themselves constitute an offer to produce content.
References to "we", "us", and "our" mean VMOTION LTD. References to "you" and "your" mean the individual or organisation accessing the website. If you access the website on behalf of a company, you represent that you have authority to bind that company to these Terms.
3. Website Use
We grant you a limited, non-exclusive, non-transferable licence to access and use the website for lawful information and enquiry purposes. You must not misuse the site, attempt unauthorised access to systems or data, interfere with security features, scrape content systematically without permission, or use the site to transmit malware or unlawful material.
We may suspend or restrict access to the website for maintenance, security, or operational reasons without notice. We do not guarantee uninterrupted or error-free availability.
You are responsible for ensuring that your device, browser, and network connection are suitable for accessing modern websites. We are not liable for degraded experience caused by outdated software, blocked scripts, or corporate network filters.
4. Intellectual Property on the Site
All content on the website, including text, graphics, logos, imagery, showreel extracts, and design composition, is owned by VMOTION LTD or our licensors and is protected by copyright and other intellectual property laws of England and Wales and internationally. You may view pages for personal or internal business evaluation related to a potential engagement. You must not copy, modify, distribute, republish, or commercially exploit site content without prior written consent, except for temporary caching incidental to browsing.
Trade marks and brand identifiers displayed on the site remain the property of their respective owners. Nothing on the site grants a licence to use VMOTION LTD branding except as necessary to identify us in good-faith business correspondence.
Client work shown in portfolio materials remains subject to the rights and approvals applicable to those projects. Portfolio display does not transfer any rights in client brands, music, or talent performances to website visitors.
5. Enquiries and Quotations
Submitting an enquiry through the website does not create a binding production contract. Any quotation issued is an invitation to treat unless expressly stated otherwise in writing. A binding agreement arises only when we confirm acceptance in writing or when both parties sign a statement of work or equivalent document. Until then, either party may decline to proceed without liability, subject to any expressly agreed paid discovery or treatment fee.
Information on the website about services is illustrative and may be updated without notice. Prices, timelines, and deliverables for specific projects are defined only in project-specific documentation.
Response times to enquiries are targets rather than guarantees. Complex briefs may require discovery calls before a meaningful quotation can be prepared. Urgent timelines should be stated clearly in your initial message to about@vmotion.ltd.
6. No Professional Advice
Website content is provided for general information about our creative services and is not legal, financial, tax, or regulated professional advice. You should obtain independent advice appropriate to your circumstances before relying on any general statement made on the site.
Nothing on the website constitutes a representation that a particular creative approach, media plan, or production method is suitable for your brand, audience, or regulatory environment. Suitability is assessed only through project-specific engagement.
7. Acceptable Use
You agree not to use the website in any way that breaches applicable law of England and Wales or other applicable jurisdictions, infringes intellectual property or privacy rights, is defamatory, discriminatory, or obscene, or promotes unlawful activity. You must not impersonate others or misrepresent your affiliation with any person or entity when contacting us.
We reserve the right to remove or ignore submissions that violate these standards and to cooperate with law enforcement where required.
You must not use automated systems to overload our servers, harvest contact details, or probe for vulnerabilities. Security research must be coordinated in advance by written notice to about@vmotion.ltd.
8. User Submissions
If you submit creative briefs, scripts, references, or other materials through the website or by email, you retain ownership of your pre-existing intellectual property. You grant VMOTION LTD a limited licence to use those materials solely to evaluate your enquiry and prepare a response or quotation.
You warrant that you have the right to share materials you submit and that doing so does not infringe third-party rights or breach confidentiality owed to others. We will treat clearly marked confidential materials with reasonable care, but you should avoid sending highly sensitive information through unencrypted channels where alternative arrangements are available.
Unsolicited ideas sent without a prior non-disclosure arrangement are received on a non-confidential basis to the extent permitted by law, except for personal data which remains protected under our Privacy Policy.
9. Availability and Changes to the Site
We may update, redesign, or discontinue any part of the website at any time. Portfolio items, service descriptions, and team information may change as our practice evolves. Archived pages are not a permanent record of our offerings.
We may correct typographical errors and update contact details without prior notice. The current contact channels remain about@vmotion.ltd, +44 7911 543210, and our Covent Garden address stated in the footer of each page.
10. Third-Party Links
The website may link to third-party sites. Those links are provided for convenience only. We do not control and are not responsible for third-party content, policies, or practices. Visiting third-party sites is at your own risk and subject to their terms.
Inclusion of a link does not imply endorsement of the third party or of any product or service offered on that site.
11. Disclaimer of Warranties
To the fullest extent permitted by law, the website and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that content is complete, accurate, or current at all times.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law, including rights of consumers under the Consumer Rights Act 2015 where applicable.
12. Limitation of Liability
Subject to the non-excludable liabilities stated above, VMOTION LTD shall not be liable for indirect, incidental, special, consequential, or punitive losses, loss of profits, loss of business, loss of goodwill, or loss of data arising from website use or inability to use the website, whether in contract, tort including negligence, or otherwise.
Our total aggregate liability arising from website use in any twelve-month period shall not exceed one hundred pounds sterling, except where such limitation is not permitted by law. This limitation reflects that the website is an informational and enquiry channel rather than a paid digital product.
If you are a consumer within the meaning of the Consumer Rights Act 2015, nothing in these Terms affects your statutory rights. Business users acknowledge that the limitation is reasonable given free access to the website.
13. Indemnity
You agree to indemnify and hold harmless VMOTION LTD from claims, losses, and expenses including reasonable legal fees arising from your misuse of the website, your breach of these Terms, or your infringement of any third-party right in connection with materials you submit through the site, except to the extent caused by our unlawful act or omission.
14. Privacy and Cookies
Personal data collected through the website is processed as described in our Privacy Policy and Cookie Policy. By using the website you acknowledge those documents. Email contact is about@vmotion.ltd presented as plain text for correspondence.
Please review privacy-policy.html and cookie-policy.html for full details of processing purposes, lawful bases, retention, and your rights under UK GDPR and PECR.
15. Force Majeure Affecting the Website
We are not liable for failure to provide website access caused by events beyond our reasonable control, including network outages, denial-of-service attacks, failures of hosting providers, industrial action, fire, flood, pandemic restrictions, or changes in law that require temporary offline status.
16. Suspension and Termination of Access
We may suspend or terminate your access to the website if we reasonably believe you have breached these Terms or pose a security risk. Suspension does not limit our other rights or remedies. Provisions that by their nature should survive, including intellectual property, disclaimers, limitations of liability, and governing law, shall survive termination.
17. Changes to These Terms
We may revise these Terms of Service by posting an updated version on https://vmotion.ltd. The revised Terms take effect on posting unless a later date is stated. Continued use of the website after changes constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must stop using the website. For commissioned work already under contract, website Terms changes do not alter the commercial Terms and Conditions applicable to that engagement unless expressly agreed in writing.
18. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them or their subject matter are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory consumer rights to bring proceedings in another jurisdiction where applicable.
19. Severability and Waiver
If any provision of these Terms is held invalid or unenforceable by a competent court, the remaining provisions continue in full force and effect. Failure by VMOTION LTD to enforce any provision is not a waiver of future enforcement of that or any other provision.
20. Entire Agreement for Website Use
These Terms, together with the Privacy Policy and Cookie Policy as they relate to website use, constitute the entire agreement between you and VMOTION LTD regarding website access and supersede prior understandings on that subject. Commercial production engagements are governed by our Terms and Conditions and any signed project documents.
21. Contact
